Welcome to VEMA ITALIA INT’L GROUP (“VEMA”, “we”, “us”, or “our”). By accessing or using our website [insert URL], applying for our services, or otherwise engaging with VEMA, you (“you”, “user”, or “applicant”) acknowledge that you have read, understood, and agree to be bound by these General Terms of Service (“General TOS”), as well as the specific terms referenced herein.
VEMA operates as a private, independent international group dedicated to supporting food and beverage professionals—including chefs, trainers, academies, baristas, chocolatiers, restaurateurs, and related businesses—through motivational recognition, certification, registration, and professional membership initiatives. Our services are designed to foster excellence, visibility, and professional development within the culinary and hospitality sectors, not to confer regulatory, governmental, or legal accreditation.
1. Scope of Services
VEMA offers three core service categories, each governed by its own dedicated set of terms:
- ✅ Service Provision (Certification & Registration of Trainers, Academies, and Group Training Programs)
→ See full terms: Certification & Registration Terms of Service - 🏆 Awards Endowment (Professional & Business Recognition via Incognito Evaluation)
→ See full terms: Awards Terms & Conditions - 🤝 Membership (Professional Affiliation and Access to VEMA Programs)
→ See full terms: Membership Terms & Conditions
The General TOS serves as an umbrella agreement. Where a conflict arises between this document and any referenced service-specific terms, the service-specific terms shall prevail for that particular service.
2. Acceptance & Eligibility
- Use of our website or application for any VEMA service constitutes your binding acceptance of these terms.
- All applicants must be active professionals or entities within the food, beverage, dessert, confectionery, or related hospitality industries—unless otherwise permitted (e.g., cooperating agents for certification services).
- Misrepresentation of professional status, credentials, or affiliation may result in immediate disqualification, revocation of services, and forfeiture of fees.
3. Fees, Billing & Payment
- Service fees vary by program and applicant location (EU vs. non-EU).
- Invoicing occurs post-service (e.g., monthly for certification), unless otherwise specified.
- Primary payment method: Cryptocurrency (EURT or USDT) via blockchain transfer.
- Late or non-payment may result in suspension or revocation of services and removal of records from our public registry.
For detailed fee structures, discounts, and billing timelines, please refer to the applicable service-specific terms.
4. Service Limitations & Disclaimers
- VEMA is not a governmental, regulatory, or accreditation body. Our certificates, awards, and membership are motivational and reputational tools—not legal qualifications for employment, immigration, licensing, or public health compliance.
- We do not supervise, deliver, or guarantee the quality of any third-party training, products, or services—even if certified or awarded by VEMA.
- All services are provided “as-is”, without warranties of fitness, merchantability, or outcome.
5. Liability, Service Availability & Waiver
5.1 Limitation of Liability
VEMA, its directors, officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages arising from your use of (or inability to use) our website or services—including but not limited to certification delays, data loss, reputational harm, or opportunity costs.
5.2 Service Availability
While VEMA strives to maintain uninterrupted access to its digital platforms and timely service delivery, you acknowledge and accept that the website and online services may be temporarily unavailable due to circumstances beyond our reasonable control, including but not limited to:
- Internet or network outages
- Server, software, or hardware failures
- Cybersecurity incidents (e.g., DDoS attacks, breaches)
- Natural disasters, pandemics, war, civil unrest, or governmental actions
- Scheduled or emergency maintenance
In such cases, VEMA shall use reasonable efforts to restore services promptly but makes no guarantees regarding uptime, response time, or continuity. Delays in certification, award processing, or membership activation resulting from such events shall not entitle you to refunds, compensation, or termination rights.
5.3 Waiver of Claims
By engaging with VEMA, you irrevocably waive all rights to claim against or sue VEMA for any matter arising from service provision—including delays or failures caused by the above-listed events.
6. Governing Law & Jurisdiction
These General TOS—and all referenced agreements—are governed by and construed in accordance with the laws of Italy. Any disputes shall be subject to the exclusive jurisdiction of the courts of Italy, with proceedings conducted in the Italian language.
7. Modifications & Termination
- VEMA reserves the right to amend, suspend, or discontinue any service—or modify these terms—at any time, with or without notice.
- Continued use of the website or services after changes constitutes acceptance of the updated terms.
- VEMA may terminate access or revoke services for violation of terms, fraud, inactivity, or reputational risk—without refund unless explicitly stated.
8. Privacy & Data Use
We process personal and professional data only as necessary to deliver our services and in compliance with applicable data protection laws (e.g., GDPR). For full details, please review our Privacy Policy.
